4. Governance, Commitments and Engagement: Governance
4.1 Governance structure The strategy and organisational oversight is determined by the board IPGH. It is comprised of 2 executive directors (one of which is the Chairman of Investa) and 4 non executive directors, comprised of 3 representatives of Morgan Stanley and one independent director.
There are two committees established by the board:


  • The Audit and Risk Committee - this is a management committee independently chaired that assists the Board with all financial, audit and OH&S issues faced by Investa;
  • Delegations Committee - this is a committee of the Board that has been established to approve certain matters that are not within the delegated authority of management.

4.2 Chair of the highest governance body Investa's Chair is also the Chief Executive Officer of the Company.
4.3 Highest governance body The Investa Board of Directors includes representatives from management, Morgan Stanley, and an Independent Director.

4.4 Mechanisms to provide recommendations or direction to the highest governance body Investa undertakes an annual third party Employee Engagement Survey and regular CEO updates so employees may ask questions and interact directly with management. As a private, closely held company Morgan Stanley as the representatives of the shareholders have an intimate involvement in both the day to day management and determining the policies and strategic directions of Investa.

4.5 Compensation and performance All senior employees have a remunerations packages with a base salary and a bonus component (both short term incentives and in the case of more senior executives, long term incentives) that are linked to all aspects of the performance of Investa, both at the business unit level and at the consolidated group level.
4.6 Conflicts of interest There is in place a related Resolution of Conflict Policy that assists in identifying and managing conflicts of interest.
4.7 Expertise of governance bodies All board members are selected by Morgan Stanley, perhaps the largest global investor in real estate, and ideally positioned to ensure that the Board remained of the highest calibre and best equipped to guide the organisations strategy on economic, environmental, and social topics.
4.8 Statement of mission and values Mission Statement and Sustainability Policy, and there is an internal Code of Conduct policy.

4.10 Performance evaluation The process for evaluating the performance of the Board is primarily focused on the relationship between the Board and management, and the effectiveness of the Board itself, including any Committees.
